Institutional strategy
Scope and professional boundaries.
A clear statement of TPE’s role when supporting companies, investors, family offices, boards and professional advisers evaluating or executing a Panama strategy.
Services are presently provided by Ramón Aranha-Gericke using The Panama Explorer as a business name. The Panama Explorer is not currently a separate legal entity. The applicable proposal or engagement agreement will identify the service provider and terms for each assignment.
Purpose of this page
Define the role before work begins.
This statement establishes the website-level scope and professional boundaries for TPE’s institutional strategy practice. A proposal, scope of work or engagement agreement may add or replace terms for a particular assignment. If documents conflict, the applicable signed or expressly accepted engagement terms govern.
What TPE provides
TPE provides client-side strategy, decision architecture, research and intelligence, project and programme leadership, implementation coordination, dependency management, readiness assessment and decision support.
The precise scope, deliverables, assumptions, timing and exclusions are defined in writing for each engagement.
What TPE does not provide
TPE does not act as a law firm, tax adviser, accountant, auditor, regulated investment adviser, securities intermediary, bank, insurer, real-estate broker, appraiser, immigration practice or other regulated professional provider.
An Action Brief, Blueprint, model, dashboard or project record does not replace appropriately qualified professional advice.
Independent specialists
Legal, tax, accounting, audit, regulatory, immigration, investment, valuation, insurance, technical and other specialist conclusions remain the responsibility of the relevant independent professional.
Specialists are involved with the client’s approval. Unless agreed otherwise, the client appoints and pays them directly and may use professionals it already knows and trusts.
Decision authority
TPE does not act as a director, officer, partner, joint venturer, investment manager or agent authorized to bind the client. The client retains responsibility for final decisions, approvals, contracts, filings, appointments and capital commitments.
TPE may coordinate approved actions and maintain decision records but does not replace the client’s governance bodies or delegated authorities.
Information and verification
Work may rely on information supplied by the client, professionals, counterparties, authorities and public or commercial sources. Conclusions depend on that information being complete, accurate and current.
Material assumptions, regulatory positions, financial inputs and third-party claims should be independently confirmed before irreversible commitments are made.
Engagement governance
The agreed scope governs what TPE will deliver. Dependencies, client responsibilities, decision gates and information requirements may affect timing and outcomes.
Material changes in scope, assumptions, risk, timing or professional requirements are addressed through documented review and, where appropriate, revised fees or timelines.
Outcomes and third parties
TPE does not guarantee regulatory approvals, licences, bank acceptance, financing, tax treatment, transaction completion, counterparty performance, implementation timing, commercial returns or market outcomes.
A Proceed, Revise, Defer or Stop recommendation is decision support based on available evidence, not a guarantee of later performance or approval.
Fees, costs and independence
TPE is client-paid. Fees and included work are stated in the engagement document. Government charges, professional fees, taxes, travel, systems and other third-party costs are excluded unless expressly included.
Any material referral fee, commission or commercial benefit connected to an engagement will be disclosed before the affected introduction or commitment.
Confidentiality and work product
Client information is shared with independent professionals or providers only as authorized, required for approved work, or permitted by law. Sensitive material should use agreed secure channels rather than general website forms.
TPE frameworks and methodology remain TPE intellectual property. Client deliverables may be used internally and shared with professional advisers for the engagement, but not publicly reproduced or resold without permission.
No engagement through website use
Using the website, exploring the Lens, downloading material or submitting an inquiry does not create an advisory, fiduciary, agency, partnership or professional relationship.
An engagement begins only when its scope and commercial terms have been accepted and any stated engagement conditions have been completed.
