Corporate & investor strategy
From opportunity signal to a controlled Panama operation.
Independent, on-the-ground verification and management support for companies, investors and professional-services firms evaluating Panama as a market, operating base or regional platform. TPE determines the level of commitment the evidence supports before implementation begins.
The starting point
You already have a reason to consider Panama. What does it justify?
Each of these is a reason to investigate. None, by itself, tells management how much to commit.
- A distributor or potential partner has approached you.
- A customer is requesting local or regional support.
- An investor is evaluating an identified opportunity.
- Management is considering Panama as an operating or regional base.
- A professional-services firm requires local verification or delivery support.
Opportunity verification
Verify the signal before designing the operation.
- Is the counterparty who they say they are—and what else are they already representing?
- What do buyers here purchase today, from whom and at what price?
- Who else serves this category, and through which route to market?
- Does the pricing and service model work locally—and is the value in Panama itself or in Panama as a regional base?
- What must be confirmed by legal, tax, regulatory or sector specialists?
This is decision-specific local verification—not statistically representative market research, a market forecast or a substitute for specialist analysis.
Before commitment
Four management questions.
Commit more only when the evidence earns it.
- 01Is the opportunity real?
- 02What should Panama do for the business?
- 03Will the model work—and can management control it from headquarters?
- 04Is the organisation ready to implement it?
Part of the Panama decision sits outside Panama. The parent’s home jurisdiction can rule out entry models before economics are modelled—through tax treatment, group reporting, audit requirements, banking policy or governance. It must be tested alongside the Panamanian structure, not after it.
Select an expansion stage.
The four stages describe the expansion journey. TPE supports that journey through three gated engagements, with Coordinated Execution continuing through launch, scale and governance maturity.
Risk, compliance and assurance apply across every stage and business area. They are embedded in the framework rather than treated as a separate workstream.

How TPE supports the decision
Local evidence connected to one management decision.
On-the-ground verification
Verify counterparties, demand signals, operating conditions and assumptions locally.
Design the commitment path
Sequence cross-border supply, local channels, an EOR pilot, licensing, a local office, an entity, joint venture or acquisition against evidence, home-jurisdiction constraints, reversibility and exit cost.
One decision record
Connect what was found, what it depends on, what remains open and who must confirm it.
One accountable lead
Independent specialists do their work. TPE maintains the sequence across them.
Controlled implementation
Stage delivery and verify readiness before each material commitment.
Management discussions in German or English. Counterparties and Panamanian professionals engaged in Spanish. Fewer interpretation gaps across the decision.
TPE works directly with international companies, investors and family offices. It also supports professional-services firms that require senior Panama delivery capacity through direct or co-delivered mandates.
Engagement model
From decision quality to controlled execution.
One mandate. One control layer. The right specialists.

Expansion diagnostic
Verify the signal
Test whether the case holds and document the answer: Proceed, Revise, Defer or Stop.
Typically 2–4 weeks, depending on scope and evidence access.View Phase 1 →Strategy and operating blueprint
Design the platform
Define what gets built, in what order and who owns each part—including what still requires specialist confirmation.
View Phase 2 →Coordinated execution, control and scale
Mobilize and control delivery
Deliver in stages, with a gate before each commitment, through launch and subsequent scale.
View Phase 3 →Already operating in Panama
The structure that got you in may not be the one that scales.
Entry decisions are made with limited evidence and under time pressure. They may be right for establishing an initial presence without remaining right as the operation evolves.
Companies already operating in Panama typically need to determine:
- whether Panama should remain a single-country operation or become a regional platform;
- which functions should be located in Panama and which should remain at headquarters;
- whether the legal and operating structure still fits the business; and
- whether management capacity, governance and controls are keeping pace with growth.
TPE applies the same discipline from a different starting point: establish what the evidence supports, define what should change and sequence the transition without disrupting the operation already running.
An operation that works is a stronger position to decide from than a blank sheet. It is also a harder one to change carelessly.Discuss an existing Panama operation →
Founder-led project leadership
Institutional discipline applied from the client side.
Ramón Aranha-Gericke
Ramón brings more than 15 years of transformation, risk and project experience across international financial institutions, including Royal Bank of Canada, UBS, Credit Suisse, Julius Bär and UBP. His work has involved complex change, multiple stakeholders, regulated environments and decisions where sequence, ownership and control materially affect the outcome.
Working natively in German and English, he supports international management teams and professional advisers without an additional communication layer.
He applies that discipline to Panama engagements from the client side. The objective is to identify regulatory and professional requirements early, test commercial and operating assumptions, expose dependencies and give every critical decision a clear owner before contracts, capital and implementation move ahead.
Transferable delivery evidence
Evidence of decision discipline and controlled execution.
These are not Panama market-entry case studies. They demonstrate the evidence-led decision, governance and programme-control disciplines TPE applies to complex decisions and implementation.
01 Phase 1 evidence · Diagnostic disciplineResearch unbundling under MiFID IIWorkstream Manager · Buy-side scopeMaterial recurring cost reduction while retaining required research coverage. +
The challenge was not separating two prices. It was building a decision process in which evidence, rather than incentive or preference, determined the outcome.
- Under the prevailing market model, research and execution were commonly purchased together, creating a structural tension between execution decisions, research access and commercial relationships.
- Users valued continuity of access, while future expenditure had to be supported by documented investment relevance and actual consumption.
- Investment functions, research providers, procurement and control stakeholders each brought a legitimate but partial view of value; no single perspective was sufficient to determine future demand.
- Cost reduction could not come at the expense of coverage the investment process genuinely required.
Issue. A bundled model obscured which research services supported investment decisions, who used them and what each component cost.
Approach. Demand was mapped, costs decomposed and future research requirements scoped independently from execution.
Outcome. A material annual run-rate reduction while retaining the research coverage required by the investment process.
The saving came from scoping, not from cutting.

02 Phase 3 evidence · Controlled executionIBOR transition across derivatives and structured productsProject Manager and delivery lead · Defined workstreamMulti-currency transition completed before applicable deadlines without material disruption. +
The programme had to reconcile a fixed external deadline with uneven technical readiness, constrained specialist capacity and a portfolio that could not move safely until the receiving infrastructure was complete.
- Benchmark cessation dates were set externally and could not be moved.
- Currency, product, valuation, risk, booking and reporting dependencies matured at different speeds.
- Development and specialist capacity had to be allocated against competing priorities.
- Senior stakeholders required timely decisions without exposing operations or clients to avoidable disruption.
Issue. Successor-rate products had to be issued and booked before multi-currency legacy exposures could move safely.
Approach. Systems impact analysis, a readiness heatmap, prioritised development, steering governance and controlled migration waves connected technical readiness to delivery.
Outcome. Relevant transitions completed before the applicable deadlines without a missed material milestone or material operational or client disruption.
Nothing was moved before there was somewhere to move it to.

Professional boundaries
The right expertise, involved at the right time.
TPE provides independent strategy, decision intelligence, project leadership and coordination. It does not replace licensed legal, tax, audit, investment, immigration, regulatory or other professional advice.
TPE may be engaged directly by the client or as a delivery partner to an international professional-services firm. In either structure, licensed professionals remain responsible for regulated advice within their respective disciplines.

Is Panama part of your next strategic decision?
The first step is a 45-minute, founder-led discussion focused on why Panama, the model being considered and what must be confirmed before commitment. Share a line or two at whatever level you are comfortable. Ramón reviews each inquiry personally and normally responds within one business day.
